Welcome to ExitSight, operated by Paragraph LLC. These Terms of Service ("Terms") govern your access to and use of our business valuation platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you represent that:

ExitSight provides a business valuation platform that enables users to create, analyze, and export professional valuation analyses. The Service includes tools for financial data input, valuation methodology application, sensitivity analysis, and report generation. The Service is provided on an "as is" and "as available" basis.

3. User Accounts

To access certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account

Nothing in these Terms grants you any right, title, or interest in the Service except for the limited license to use the Service as provided herein. ExitSight, the ExitSight logo, and related marks are trademarks of Paragraph LLC.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. Valuation analyses generated by the Service are for informational purposes only and should not be relied upon as the sole basis for financial, investment, or business decisions. You should consult with qualified professionals before making any such decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARAGRAPH LLC (DBA EXITSIGHT) AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Paragraph LLC (DBA ExitSight) and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may terminate your account at any time by contacting us or using the account settings in the Service. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the changes becoming effective. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
